Introduction
These terms and conditions (“Terms”) apply to all services provided by QuickHub Solutions (“QuickHub”) to its clients (“Client”). By using our services, the Client agrees to be bound by these Terms.
Service Agreement
A Service Agreement will be created for each project, outlining the specific scope of work, deliverables, timelines, and fees. The Service Agreement will be signed by both parties before work begins. Any changes to the Service Agreement must be agreed upon in writing by both parties.
Fees and Payment
Fees for services will be outlined in the Service Agreement. Payment terms will also be outlined in the Service Agreement and may vary depending on the scope of work. QuickHub reserves the right to suspend work on any project until payment is received in full.
Confidentiality
QuickHub will maintain the confidentiality of all information received from the Client, including but not limited to business plans, financial information, and trade secrets. QuickHub will not disclose any confidential information to third parties without the Client’s prior written consent.
Ownership of Work
All work produced by QuickHub, including but not limited to reports, analysis, and strategies, will be owned by the Client upon full payment of fees. QuickHub reserves the right to use anonymized data and information for research and analysis purposes.
Intellectual Property
The Client represents and warrants that it owns or has the necessary licenses, rights, consents, and permissions to use any materials provided to QuickHub for the performance of services. The Client agrees to indemnify and hold QuickHub harmless from any claims of infringement or misappropriation of intellectual property.
Limitation of Liability
QuickHub’s liability for any claims arising out of or related to these Terms or the services provided by QuickHub will be limited to the fees paid by the Client for the services. In no event will QuickHub be liable for any special, indirect, consequential, or punitive damages.
Termination
Either party may terminate the Service Agreement at any time with written notice to the other party. In the event of termination, the Client will be responsible for all fees and expenses incurred up to the date of termination.
Governing Law
These Terms will be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising out of or related to these Terms or the services provided by QuickHub will be resolved in the courts of the Province of Ontario.
Entire Agreement
These Terms, along with the Service Agreement, constitute the entire agreement between QuickHub and the Client and supersede all prior agreements, understandings, and negotiations between the parties.
